WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, COMPLETELY SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

THIS SECTION APPLIES TO THE SITE AND ITS GENERAL CONTENT. WARRANTIES AND LEGAL RIGHTS RELATING TO PRODUCTS PURCHASED FROM US ARE GOVERNED BY OUR WARRANTY POLICY, SALES AND REFUNDS POLICY, APPLICABLE PRODUCT TERMS, AND APPLICABLE CONSUMER LAW.

SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. WHERE SUCH A RESTRICTION APPLIES, THE ABOVE EXCLUSIONS WILL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, gross negligence, or death or personal injury where applicable law prohibits such a limitation.

To the maximum extent permitted by law, Loft Home and its members, managers, officers, employees, agents, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating solely to:

Your use of or inability to use the Site;
Interruptions or errors affecting the Site;
Unauthorized access to your account resulting from your failure to protect your login information;
Third-party websites or services; or
Reliance on general Site content.

This exclusion includes, where permitted by law, loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings.

For claims arising solely from your access to or use of the Site, and not from the purchase, delivery, installation, condition, safety, or warranty of a product, Loft Home’s total liability will not exceed USD $100.00.

Claims relating to purchased products, payments, deliveries, returns, refunds, or warranties are governed by the applicable purchase policies and applicable law.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, our liability will be limited only to the maximum extent permitted by law.

15. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Loft Home and its members, managers, officers, employees, agents, affiliates, contractors, and service providers from claims, liabilities, damages, losses, and reasonable costs arising from:

Your unlawful or unauthorized use of the Site;
Your material violation of these Terms;
Your infringement of another person’s intellectual property, privacy, or other legal rights;
User Content submitted by you; or
Fraudulent, abusive, or malicious conduct carried out through your account.

This section does not require you to indemnify Loft Home for claims caused by Loft Home’s own fraud, willful misconduct, gross negligence, or other conduct for which indemnification may not legally be required.

16. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site or your account if we reasonably believe that:

You have violated these Terms;
Your account is being used fraudulently or unlawfully;
Your conduct creates a security or operational risk;
Your conduct infringes our rights or the rights of another person;
Suspension is required by law, regulation, court order, or governmental request; or
Continued access could cause harm to Loft Home, our customers, or our service providers.

Where appropriate, we may notify you and provide an opportunity to correct the issue.

Termination or suspension does not affect rights or obligations that arose before the effective date of termination.

Provisions that by their nature should continue after termination—including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and general legal provisions—will remain in effect.

17. Governing Law and Jurisdiction

These Terms and any dispute arising from or relating to your use of the Site will be governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law principles.

Except where applicable law requires otherwise, you and Loft Home agree that any legal proceeding arising from or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New Castle County, Delaware.

You and Loft Home consent to the personal jurisdiction of those courts and waive objections based on venue or inconvenient forum.

Nothing in this section deprives a consumer of any protection or right that cannot be waived under the laws applicable to that consumer.

18. Changes to These Terms

We may revise these Terms from time to time to reflect changes to:

The Site or our services;
Our business operations;
Applicable laws or regulations;
Security or technical requirements; or
Our policies and procedures.

The updated version will be posted on this page with a revised “Last Updated” date.

Where required by law, or where changes are material, we may provide additional notice through the Site or by email.

No Third-Party Beneficiaries. Unless expressly stated otherwise, these Terms do not create rights for any person or entity other than you and Loft Home.

Headings. Section headings are included for convenience and do not affect the interpretation of these Terms.

Electronic Communications. You agree that notices, disclosures, and other communications provided electronically may satisfy legal requirements that such communications be in writing, to the extent permitted by law.
